DutyRemind Terms of Service
1. Acceptance of Terms
By installing, activating, or using the DutyRemind Google Sheets integration ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company, organization, or team, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not install or use the Service.
2. License and Scope of Use
Niyogi Labs grants you a limited, non-exclusive, non-transferable, revocable license to install and execute the DutyRemind Apps Script within your Google Sheets account solely for your business, organizational, or personal administrative operations. You may not copy, reverse engineer, modify, decompile, or distribute the underlying Apps Script code without explicit written permission from Niyogi Labs.
3. User Quotas and Freemium Structure
DutyRemind is distributed on a freemium model. The terms of this model are as follows:
- Free Tier: You may sync and block calendar events for unique team member email addresses up to the limit specified on the product landing page.
- Pro Tier: Syncing, blocking, or scheduling rosters containing more unique email addresses than allowed in the Free Tier, or requiring unlimited sync executions, requires a paid Pro license. Pricing and tier thresholds are outlined on the main product landing page. Pro Tier licenses guarantee support for unlimited team sizes and unlimited calendar syncs. Other pro-specific features are determined at Niyogi Labs' discretion and may be added over time.
- Enterprise Tier: Custom development, offline/intranet synchronization, or custom database integration requires an Enterprise license. Please submit an inquiry form for pricing plans and enterprise billing setups.
- Quota Manipulation: Any attempts to bypass the free tier user limit through account splitting, bulk spreadsheet copying, or automated script manipulation to evade licensing fees is a violation of these Terms and will result in revocation of your license.
4. Google Workspace Ecosystem and Third-Party Dependencies
DutyRemind is built on the Google Apps Script framework and integrates with Google Spreadsheets and Google Calendar. Your use of DutyRemind is subject to your compliance with the Google Workspace APIs Terms of Service, Google Workspace Marketplace policies, and your individual agreement with Google. Niyogi Labs is not responsible for changes, downtime, API rate limiting, or service modifications made by Google that may affect the functionality of DutyRemind.
5. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPLICIT OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NIYOGI LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, ERROR-FREE, OR THAT CALENDAR SYNC PROCESSES WILL OPERATE WITHOUT CONFLICTS OR SCHEDULE COLLISIONS.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIYOGI LABS AND ITS DEVELOPERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, SHIFT ROSTER DISCREPANCIES, MISSED APPOINTMENTS, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Modifications to Service and Terms
Niyogi Labs reserves the right to modify, suspend, or discontinue DutyRemind, or any features therein, at any time with or without notice. We also reserve the right to revise these Terms or introduce subscription pricing details. Continued use of the Service following modifications constitutes your acceptance of the updated Terms.
